TERMS & CONDITIONS 

DEFINITIONS

In these Terms and Conditions, the following expressions shall have these meanings: “Salescadence” means Salescadence of 8 Hewitt Close, Poringland, Norwich, NR14 7FE. “Product” means the activity described on the Booking Form. “Client” means the person, firm or organisation confirming the Programme. “Programme Fees” means all patent applications, granted patents, inventions, registered and unregistered designs, confidential information, copyright works, trademarks and researched Programme content.

QUALITY

Salescadence shall use reasonable skill and care when preparing and providing the Programme. The purpose of Salescadence Product is limited to providing participants with training and transferring sales knowledge and “tools” that will assist them in making commercial judgments and decisions. Salescadence shall not be liable for participants’ personal decisions and actions. Any concerns regarding the quality of the Product must be notified in writing to Salescadence within 28 days following consuming the Product.

FEES AND EXPENSES

The Client shall pay to Salescadence the Product Fees, other charges shown on the Booking Form and reasonable travel, accommodation, and subsistence expenses within 14 days of the date of the invoice. Salescadence reserves the right to charge interest on any outstanding balance at the rate of 5% per month from the date payment is due until receipt by Salescadence of payment in full.

CANCELLATION

The Terms and Conditions in circumstances where the Client cancels the Product are given on the Booking Form. Whilst every effort will be made to honour agreed arrangements, Salescadence reserves the right to cancel, curtail or reschedule the Product due to illness, accident or other unforeseen event. If the Product is cancelled, the Client will receive a full refund of any deposits paid and Salescadence will make no charges in respect of the cancelled Product. Salescadence shall not be liable for any other loss or expense to the Client arising from the cancellation.

COPYRIGHT AND INTELLECTUAL PROPERTY

All copyrights associated with material supplied by Salescadence for the Product remain the property of Salescadence. The reproduction, by whatever means, of copyright Programme material is forbidden unless written permission is obtained from Salescadence. The use by the Client of the copyright Programme material and Intellectual Property in a teaching environment is forbidden unless a separate contract for its delivery under licence has been agreed.

LIABILITY

Salescadence has Professional Indemnity Insurance which covers up to £2m. Salescadence shall not be liable beyond the remit and extent of the insurance for loss of revenue, business profits, goodwill, anticipated savings, data, corruption of data, indirect or consequential loss whether suffered by the Client or other persons.

GENERAL PROVISIONS

These Terms and Conditions come into force when Salescadence receives from the Client the signed Booking Form. If any of these Terms and Conditions are deemed to be void or unenforceable, it shall be deleted and the remainder shall be enforceable.  These Terms and Conditions shall be governed and construed in all respects in accordance with English Law and Salescadence and the Client agree to submit to the exclusive jurisdiction of the English courts.
